Company law is a key area that is relevant in all areas of business, and spans across most of Schjødt's advisory services in Norway, Sweden, Denmark and the UK.

Our team of company law experts in all four jurisdictions have a wide variety of academic and practical experience. Some have their PhD and lecturing experience from the company law area or have published well-regarded books and articles on company law. Others have experience from advising on practical day-to-day or transactional work, as board members, or from representing clients in all types and levels of court.


The vast majority of Scandinavian businesses are either private or public limited liability companies. However, we also cover all other forms of company law expertise for entities such as local branches of foreign legal entities, partnerships, limited partnerships, cooperative businesses, publically held business operations etc.

Company law work that we often do includes:

  • Day-to-day corporate housekeeping and compliance. We have the systems and experience needed to assist clients with the basic requirements necessary to conduct business through a Scandinavian entity.
  • Company law in connection with corporate structuring, often in tandem with our tax and financing colleagues for a seamless perspective and approach. This also includes corporate transaction preparations and assistance following a corporate takeover.
  • Shareholders' agreements, investment agreements, joint venture agreements, specialised articles of association and other forms of agreements and documentation that regulate shareholder cooperation. We have experience with adapting foreign shareholder and investment agreements to work locally, and regularly work on private equity holding structures, MIP agreements and other specialty agreements driven by company law rules.
  • All forms of company law matters concerning corporate resolutions and documentation, including all forms of equity transactions such as equity increases or decreases, dividends or group contributions, local or cross-border corporate mergers or demergers, share buy-backs or sales as well as warrants, convertible loans and hybrid instruments.
  • Corporate management and governance matters both from a company law and a commercial perspective, drawing on knowledge of local law requirements, broad experience from all types of business sizes and business areas, and experience ranging from early-phase start-ups to large, listed local or international corporations.
  • Corporate compliance, where we often assist clients with difficult matters in the span between business ethics and corporate law, including compliance with and documentation of ESG requirements. We also assist with complex questions concerning sufficient equity and corporate crisis management.
  • Corporate litigation, as we represent clients in corporate matters at all levels of local courts, including the Supreme Courts, and in local and international arbitration. We often handle matters such as management or board liability, enforcement of shareholder rights and matters concerning shareholder disputes or shareholder liability. We have lawyers in all Scandinavian jurisdictions that act as mediators in corporate matters, working to seek solutions to potential disputes outside of the courts.
